1. Acceptance of these Terms

By accessing, registering for, purchasing a Spot, or otherwise using the SpotGrid Platform, you acknowledge that you have read, understood and agree to be legally bound by these Terms and Conditions, together with the Master Spot Ownership Agreement (MSOA), the Spot Purchase Agreement (where applicable), the Privacy Policy, the Cookie Policy and any additional SpotGrid policies incorporated by reference.

Platform: The SpotGrid website, applications, marketplace, services, software, infrastructure and all related products and functionalities operated by SpotGrid.

Spot: A transferable contractual digital platform asset granting specific contractual rights within the SpotGrid ecosystem. A Spot does not constitute equity, shares, securities, financial instruments or ownership interest in SpotGrid.

User: Any individual or legal entity accessing or using the Platform.

Visitor: A User who accesses or browses the Platform without creating a registered account.

Registered User: A User who has created a SpotGrid account and may access Platform features available to registered members.

Premium User: A Registered User subscribed to one or more premium services offered by SpotGrid, with access to additional features and benefits as determined by SpotGrid from time to time.

Spot Owner: A Registered User who has lawfully acquired ownership of one or more Spots under the applicable Spot Purchase Agreement and the Master Spot Ownership Agreement (MSOA).

Advertiser: Any User or third party purchasing advertising services or displaying content through the Platform, regardless of whether such person owns one or more Spots.

Marketplace: The official SpotGrid marketplace through which eligible Spots may be purchased, sold, transferred or rented in accordance with the applicable Marketplace Rules.

Wallet: The digital balance provided by SpotGrid that may be used to receive, hold and spend eligible funds, commissions, rewards, promotional credits or other balances supported by the Platform.

Services: All current and future products, services, programs, features and functionalities made available by SpotGrid.

Policies: These Terms and Conditions together with all additional agreements, policies, programs and legal documents published by SpotGrid and incorporated by reference.

Temporary Campaign: A promotional, informational, educational, commercial or community campaign temporarily displayed on eligible Spots in accordance with the applicable SpotGrid policies.

MSOA: The Master Spot Ownership Agreement governing the ownership, rights and obligations associated with Spot ownership.

Spot Purchase Agreement (SPA): The agreement executed when purchasing one or more Spots from SpotGrid or through authorized Platform mechanisms.

3. Eligibility

You must be at least 18 years old and legally capable of entering contracts.

4. User Accounts

You are responsible for your account credentials and all activity under your account.

5. Nature of a Spot

A Spot grants contractual rights to use designated advertising space and related platform features only.

6. Ownership of a Spot

Ownership is permanent unless terminated for fraud, illegal activity or material breach of these Terms.

7. Spot Purchases

Purchases are processed through Stripe or other approved providers. A separate Spot Purchase Agreement may apply.

8. Advertising Rules

Users may advertise lawful websites, businesses and social profiles. Illegal, fraudulent, infringing, hateful, malicious or misleading content is prohibited.

9. Spot Modifications

Each Spot includes up to five free content updates. Additional updates may be charged according to the Platform fee schedule.

10. Spot Transfers

Transfers must be completed exclusively through SpotGrid. Ownership changes only when registered by the Platform.

11. Spot Rentals

Rentals must be managed through SpotGrid and are subject to the applicable commission schedule.

12. Platform Benefits

Benefits may include event tickets, profile pages and preferential services. Benefits may evolve over time.

13. Fees and Payments

Applicable fees, commissions and payment methods are published on the Platform and may change prospectively.

14. Refund Policy

Refund requests are handled according to the Spot Purchase Agreement and applicable law.

15. User Responsibilities

Users must comply with all laws and ensure the legality of submitted content.

16. Prohibited Activities

No fraud, spam, malware, IP infringement, illegal products or abusive conduct.

17. Intellectual Property

SpotGrid retains all intellectual property rights in the Platform.

18. Suspension and Termination

We may suspend accounts for violations, fraud or security risks.

19. Limitation of Liability

To the maximum extent permitted by law, SpotGrid shall not be liable for indirect or consequential damages.

20. Governing Law

These Terms are governed by the laws of Switzerland. Exclusive jurisdiction shall lie with the competent Swiss courts unless mandatory law provides otherwise.

In the event of any inconsistency between these Terms and Conditions and a document specifically governing a particular service, program or transaction, the more specific document shall prevail with respect to that subject matter.
